Aaron specializes in corporate law and employment law.  Passionate about his work, Aaron focuses on helping clients develop practical solutions that balance risks with business needs.

Aaron has a broad corporate practice.  He works closely with companies of all sizes – from publicly traded through start-ups – to develop the business structures needed for successful growth.  In this capacity, he assists clients with forming entities, structuring their operations, and raising capital through equity and debt offerings.  Aaron has represented the borrower in an $85M loan transaction and the buyer in a $60M asset purchase.  In addition, he regularly drafts and negotiates various types of agreements, such as manufacturing, distribution, software, confidentiality, licensing, and intra-company agreements.

Aaron’s labor and employment practice focuses on employee relations and regulatory compliance.  Working closely with business owners and HR departments, Aaron helps companies draft personnel policies and handbooks that minimize risk while still reflecting company culture.  Aaron regularly counsels clients operating throughout the country on compliance with the Americans with Disabilities Acts; the Family and Medical Leave Act; and federal, state, and local wage and hour, payroll, and discrimination laws.  And, Aaron applies his expertise in drafting and negotiating contracts to the employment context, developing employment agreements, non-competition and confidentiality agreements, and severance agreements.

Aaron’s dual specialization in corporate and employment law – and his focus on achieving business goals with manageable risk – allow him to provide unique value to clients, particularly the firm’s clients who use Messner & Reeves as their general counsel.
