James J. Muchmore
Mr. Muchmore is a partner in the firm's Corporate Practice Group. Mr. Muchmore advises clients on corporate, transactional and private investment fund matters, providing ongoing legal advice to private investment funds, investment advisers, publicly and privately-held corporations, company management and boards of directors. He also provides counsel regarding the federal securities laws, including investment adviser disclosure and compliance obligations under the Investment Advisers Act of 1940, public and private offerings, mergers and acquisitions, business transactions and corporate governance. In addition, Mr. Muchmore has represented fund sponsors and private investors in connection with seed-capital investments in fund managers and acquisitions of interests in investment-management businesses, and in connection with joint ventures and partnerships executing varying investment strategies.
Mr. Muchmore counsels clients in connection with a variety of securities and corporate law matters, including the preparation of transactional documents related to private equity and hedge fund formation; mergers and acquisitions, joint venture agreements and limited partnership agreements; preparation of registration statements, annual reports, proxy statements and other Exchange Act and Securities Act reports; and responses to SEC and FINRA inquiries regarding adviser and issuer conduct and disclosure.
Mr. Muchmore also counsels clients engaged in the oil and gas and renewable energy space, including providing advice to entities engaged in the solar, biomass and fuel industries.
